1. Description
Welcome to ScribeShare (“The Site”). The term “us” or “we” or “our” or “My-Lan” refers to My-Lan. The term “you” or “member” refers to the user or viewers of the site, including writers, reviewers and guest. The term “Content” includes but is not limited information, data, images, sound, music, text, photographs, graphics, video, or other material.
2. Acceptance of Terms
My-Lan provides services to you subject to the following Terms of Service (“TOS”), which My-Lan reserves the right to change at anytime without notice to you. Any changes must be adhered to. By accessing and using My-Lan or any of My-Lan’s services, you accept and agree to be bound by these terms and provisions.
3. Description of Services
This site is owned and operated by My-Lan. The services are available on an “AS IS” and “AS AVAILABLE” basis. Use of this site is contingent on acceptance of viewing of any and all advertisements (ADS) sent on or by pages on this site. ADS include, but are not limited to: banners, buttons, pop-up windows and text links.
4. Copyright; Restrictions On Use
The materials and content displayed on this website, that are not member uploaded, including but not limited to text, logos, trademarks, graphics, video, music, sounds and service markets are the property of My-Lan, its affiliates or licensors and are protected by copyright, trademark, patent or other intellectual property laws.
Members agree to not upload or transmit any material for which they do not hold legal copyright. Members agree to not post or otherwise make available on the Site any material, which is protected by a copyright, trademark or other proprietary right other than your own. Members shall be solely liable for any damages resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from such a submission, and such liability shall survive any termination of this Member Agreement of your membership to the Site.
Members who upload content to ScribeShare, My-Lan, or any other My-Lan’s products or services grant My-Lan an unrestricted and non-exclusive right to display and utilize the uploaded content. Members maintain the copyrights to their content. Members grant My-Lan the right to edit, copy, distribute or make generally available to the public titles of submitted work, member profile information, and/or short excepts from work posted to the Site by writers for the purpose of promoting your work ScribeShare, My-Lan or the site.
Members acknowledge and agree that the My-Lan may preserve work you submitted to the Site and may also disclose such work if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms of Service; (c) respond to claims that any work violates the rights of third-parties; or (d) protect the rights, property, or personal safety of My-Lan its owners and operators or third parties.
5. Use of Content
You may make a single copy of Content posted to the Site by authors and reviewers on your hard drive or in print for your own personal, non-commercial use only. You may not modify, publish, transmit, distribute, participate in transfer or sale, or in any way exploit, in whole or in part, any Content other than your own. Except as otherwise expressly permitted under copyright law, no copying, redistribution, publication, retransmission or commercial exploitation will of Content will be permitted without the express permission of My-Lan and the copyright owner. You may not change or obscure any copyright notice, trademark, author attribution, or other proprietary notice. You acknowledge that you do not acquire any ownership rights in the Content by downloading or printing copyrighted material.
6. Member Conduct
You understand that all information, data, images, sound, music, text, photographs, graphics, video, or other material, whether publicly or privately transmitted, are the sole responsibility of the person from who such Content, originated. This means you, and not My-Lan, is responsible are entirely responsible for all Content that you transmit, upload, email, post, or make available on ScribeShare or any other of My-Lan’s services.
You agree to not use My-Lan, ScribeShare, and any other of My-Lan’s services to:
a. stalk, harass, threaten, or defraud other members;
b. send, email, post, or make available content with the intention to be threatening, embarrassing, hateful, racially or ethnically insulting, unlawful, harmful, tortuous, defamatory, libelous, obscene, hateful, inappropriate or offensive. Use of such content to describe or embellish a piece of literature is acceptable.;
c. harm minors in any way;
d. make unsolicited or inappropriate offers, advertisements or proposals for goods, services, or other commercial activities outside of ScribeShare and My-Lan;
e. impersonate any person or entity, including, but not limited to, My-Lan official, ScribeShare, official, host, forum leader. ScribeShare members are not to falsely state or otherwise misrepresent your affiliation with a person or entity;
f. Misrepresent the source, identity, or content of information transmitted via ScribeShare or otherwise infringing any trademark, copyright, right of publicity or other right of any other person or entity.
g. Interfere with any security-related feature of ScribeShare
h. share passwords with a third party or encourage another member to do so;
i. use or encourage others to use ScribeShare for any illegal purpose;
j. discuss, promote, or depict any for of child sexuality, abuse, exploitation, or related topics that may be harmful to or threaten the security of a child or minor;
k. post or distribute any content that contains software viruses or other code intended to damage, alter, or interfere with any software, hardware, equipment, system, data or other information of ScribeShare and any third party;
l. Access adult areas of the site if you under the 18 or not of the age of consent in your area;
7. Other Sites
ScribeShare and other My-Lan services may contain links to sites outside of its own. These sites are not monitored by My-Lan or its affiliates and My-Lan and its affiliates will not be responsible for their Content.
8. Adult Content
Some Content submitted by Members on ScribeShare may contain adult Content. Users who have stated they are under of 18 have agreed not to access these areas of the sites. It is the members obligation to leave areas that are unpoliced, misrated or allow adult Content, if you are not of the age of consent in your area. My-Lan is not responsible for the misrating of adult oriented Content or member access to adult Content.
9. Collection of Personal Information
Any information including but not limited to data, images, sound, music, text, photographs, graphics, video, or other material that is publicly transmitted may be collected and used by parties browsing the Site.
10. Indemnification
By use of ScribeShare, My-Lan and its services, you agree to indemnify and hold harmless My-Lan, and ScribeShare, and its affiliates, employees, agents, contractors, licensors, officers, and partners from any claim or demand, including reasonable attorney’s fees, made by a third party due to or arising out of anything you submit, post, transmit, upload, or publish on ScribeShare. You are responsible for your actions on ScribeShare and on all other My-Lan services and accept all responsibility, legal and other, for your activity and actions.
11. Modification To ScribeShare
My-Lan reserves the rights at anytime and from time to time to modify, discontinue, temporarily or permanently, ScribeShare (or any part thereof) with or without notice. You agree that My-Lan shall not be liable to you or to any third party for any modification, suspension, or discontinuance of ScribeShare.
12. Termination
You agree that My-Lan, in its sole discretion and for any or no reason, may terminate any account (or any part thereof) you may have with ScribeShare and any other My-Lan services and remove and discard all or any part of your account.
13. Disclaimer of Warranty, Limitation of Liability
My-Lan AND ANY THIRD-PARTY SOFTWARE, SERVICES, OR APPLICATIONS MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH ScribeShare ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, My-Lan , ITS SUPPLIERS, LICENSORS, AND PARTNERS DISCLAIM ALL WARRANTIES, STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. My-Lan, ITS SUPPLIERS, LICENSORS, AND PARTNERS DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN ScribeShare WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT My-Lan OR THE SERVERS THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT MY-LAN AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY PUNITIVE, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF MY-LAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (a) THE USE OR THE INABILITY TO USE MY-LAN’S SERVICES; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (c) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE MY-LAN SERVICE; OR (e) ANY OTHER MATTER RELATING TO THE MY-LAN SERVICE.
